Intellectual Property Rights
The Web Site and its software are the intellectual property of and are owned by LegalVendor 411 and its suppliers. The structure, organization and code of the software are the valuable trade secrets and confidential information of LegalVendor 411 and its suppliers. The software is protected by copyright, including without limitation by United States copyright, international treaty provisions and applicable laws in the country in which it is being used. You may not copy the software. You agree not to modify, adapt or translate the software. You also agree not to reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the software. Any information supplied by LegalVendor 411 or obtained by you, as permitted hereunder, may only be used by you for the purpose described herein and may not be disclosed to any third party or used to create any software which is substantially similar to the expression of the software. Requests for information should be directed to the LegalVendor 411 customer support department. Trademarks shall be used in accordance with accepted trademark practice, including identification or trademarks' owners' names. Trademarks can only be used to identify printed output produced by the software and such use of any trademark does not give you any right of ownership in that trademark. Except as expressly stated above, this Agreement does not grant you any intellectual property rights in the software or its application.
Use of Forums and Public Communication
"Forum" means a discussion group, chat area, bulletin board, news group, letter to LegalVendor 411, its webmaster or employees, or e-mail function offered as part of the Site. You agree not to upload, e-mail, post, publish or otherwise transmit through a Forum any content that: (a) is false or misleading; (b) is defamatory; (c) is harassing or invades another's privacy, or promotes bigotry, racism, hatred or harm against any group or individual; (d) is obscene; (e) infringes another's rights, including but not limited to intellectual property rights; (f) constitutes unsolicited bulk e-mail, "junk mail," "spam" or chain letters; or (g) violates any applicable laws or regulations.
By uploading, e-mailing, posting, publishing or otherwise transmitting content to any Forum or submitting any content to LegalVendor 411, you automatically grant (or warrant that the owner of such rights has expressly granted) LegalVendor 411 a perpetual, royalty-free, irrevocable, nonexclusive right and license to use, reproduce, modify, adapt, publish, transmit and distribute such content on in any form, medium, or technology now known or later developed. In addition, you warrant that all so-called moral rights in the content have been waived.
Passwords and Security
You are responsible for maintaining the confidentiality of any password(s) you are given to access the Site, and are fully responsible for all activities that occur under your password(s). You agree to notify LegalVendor 411 immediately of any unauthorized use of your password(s). LegalVendor 411 is concerned about the security of personal information we have collected from you and has taken reasonable steps to prevent unauthorized access to that information.
Termination of Use
You agree that LegalVendor 411 may, in its sole discretion, at any time terminate your access to the Site and any account(s) you may have in connection with the Site.
Third Party Web Sites, Content, Products and Services
The Site provides links to Web sites and access to content, products and services from third parties, including users, advertisers, affiliates and sponsors of the Site. You agree that LegalVendor 411 is not responsible for the availability of, and content provided on, third party Web sites. You should refer to the policies posted by other Web sites regarding privacy and other topics before you use them. You agree that LegalVendor 411 is not responsible for third party content accessible through the Site, including opinions, advice, statements and advertisements, and understand that you bear all risks associated with the use of such content. If you choose to purchase any products or services from a third party, your relationship is directly with the third party. You agree that LegalVendor 411 is not responsible for: (a) the quality of third party products or services; and (b) fulfilling any of the terms of your agreement with the seller, including delivery of products or services and warranty obligations related to purchased products or services. You agree that LegalVendor 411 is not responsible for any loss or damage of any sort you may incur from dealing with any third party.
Pre-Release Product Additional Terms
If you are accessing the Site through a pre commercial release ("Beta release"), then the following section applies. To the extent that any provision in this section is in conflict with any other term or condition in this Agreement, this section shall supersede such other term(s) and condition(s) with respect to the Beta release, but only to the extent necessary to resolve the conflict. You acknowledge that the you are accessing a pre-release version at the Site and this does not represent the final product from LegalVendor 411 and may contain bugs, errors and other problems that could cause the system or failures and data loss. Consequently the Beta release is provided to you "AS IS" and LegalVendor 411 disclaims any warranty or liability obligations to you of any kind. WHERE LEGALLY LIABILITY CANNOT BE EXCLUDED FOR BETA RELEASE SITE ACCESS, BUT IT MAY BE LIMITED, LegalVendor 411's LIABILITY AND THAT OF ITS SUPPLIERS SHALL BE LIMITED TO THE SUM OF $50 (FIFTY DOLLARS) IN TOTAL. YOU ACKNOWLEDGE THAT ANY RESEARCH OR DEVELOPMENT THAT YOU PERFORM REGARDING THE BETA RELEASE OR ANY PRODUCT ASSOCIATED WITH THE BETA RELEASE IS DONE ENTIRELY AT YOUR OWN RISK. DURING THE TERM OF THIS AGREEMENT, IF REQUESTED BY LegalVendor 411, YOU WILL PROVIDE FEEDBACK TO LegalVendor 411 REGARDING TESTING AND USE OF THE BETA RELEASE, INCLUDING ERROR OR BUG REPORTS.
Limitation of Liability
IN NO EVENT WILL LegalVendor 411 OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY DAMAGES, CLAIMS OR COSTS WHATSOEVER OR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL DAMAGES OR LOST PROFITS OR LOST SAVINGS, EVEN IF A LegalVendor 411 REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS, DAMAGES, CLAIMS OR COSTS OR FOR ANY CLAIM BY ANY THIRD PARTY. THE FOREGOING LIMITATIONS AND EXCLUSIONS APPLY TO THE EXTENT PERMITTED BY APPLICABLE LAW IN YOUR JURISDICTION. LegalVendor 411's AGGREGATE LIABILITY AND THAT OF ITS SUPPLIERS UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL BE LIMITED TO FIFTY DOLLARS. LegalVendor 411 IS ACTING ON BEHALF OF ITS SUPPLIERS FOR THE PURPOSE OF DISCLAIMING, EXCLUDING AND/OR LIMITING OBLIGATIONS, WARRANTIES AND LIABILITY AS PROVIDED IN THIS AGREEMENT, BUT IN NO OTHER RESPECTS AND FOR NO OTHER PURPOSE.
Disclaimer
EXCEPT WHERE EXPRESSLY PROVIDED OTHERWISE, THE SITE, AND ALL CONTENT, MATERIALS, INFORMATION, SOFTWARE, PRODUCTS AND SERVICES PROVIDED ON THE SITE, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. LegalVendor 411 EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. LegalVendor 411 MAKES NO WARRANTY THAT: (A) THE SITE WILL MEET YOUR REQUIREMENTS; (B) THE SITE WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS; (C) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE OR ANY SERVICES OFFERED THROUGH THE SITE WILL BE ACCURATE OR RELIABLE; OR (D) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITE WILL MEET YOUR EXPECTATIONS. ANY CONTENT, MATERIALS, INFORMATION OR SOFTWARE DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK. LegalVendor 411 SHALL HAVE NO RESPONSIBILITY FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY CONTENT, MATERIALS, INFORMATION OR SOFTWARE. LegalVendor 411 RESERVES THE RIGHT TO MAKE CHANGES OR UPDATES TO THE SITE AT ANY TIME WITHOUT NOTICE.
Indemnity
You agree to defend, indemnify and hold harmless LegalVendor 411, its officers, directors, employees and agents from and against any and all claims, liabilities, damages, losses or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Site.
Note About Children
Minors are not eligible to use the Site, and we ask that they do not submit any personal information to us.
Applicable Laws
All matters relating to your access to, and use of, the Site shall be governed by U.S. federal law or the laws of the State of California. Any legal action or proceeding relating to your access to, or use of, the Site shall be instituted in a state or federal court in San Diego or San Diego County, California. You and LegalVendor 411 agree to submit to the jurisdiction of, and agree that venue is proper in, these courts in any such legal action or proceeding.
General Provisions
If any part of this Agreement is found void and unenforceable, it will not affect the validity of the balance of the Agreement, which shall remain valid and enforceable according to its terms. This argument shall not prejudice the statutory rights of any party dealing as a consumer. This Agreement may only be modified by a writing signed by an authorized officer of LegalVendor 411 This is the entire Agreement between LegalVendor 411 and you relating to the Site and it supersedes any prior representations, discussions, undertakings, communications or advertising relating to the Site.
Copyright/Trademark Information
Names appearing on the Site may be trademarks of their respective owners.
Refund policy
All sales are final. LegalVendor 411 does not provide refunds for Upgraded Listings, Super Listings, Job Postings, Event Postings or any other service offering provided by the website once a listing is submitted. Company Listings are invoiced as an annual subscription fee. Job Postings and Event Postings are invoiced as a monthly subscription fee.
